Our distinguished experts have extensive experience dealing with issues such as due diligence, misrepresentation and disclosures, marketing materials and pitch representations, role of the underwriter, primary vs. secondary market vs. private placements offerings, as well as with the different type of instruments issued in connection with equity offerings such as: common shares, preferred shares, PIPE shares, American Depositary Receipts, among other.

SEDA’s experts were retained on various matters in connection with SPAC and de-SPAC transactions and provided expert reports and testimony. Issues at dispute included but not limited to alleged misrepresentations by the target company officers and or SPAC sponsors, lock up agreements, high level of redemptions prior to closing, large drop in price of share after de-SPAC transaction, asymmetry and conflict of interest between the various parties involved in the SPAC and de-SPAC transactions, among other.

Our SPAC experts are well suited to support SPAC related disputes, as they had direct and hands on involvement in SPACs including sponsor side, management, IPO and underwriting, as well as target companies and board membership and executive management of target acquisition companies.

Our experts ran debt syndicate services including but not limited to marketing, pricing, and distributing debt, coordinating origination, underwriting, and bridging with the market and respective participants and investors (lenders), as well as bond transaction management. Their competence in debt issuance spans between government and municipal debt issues, corporate bonds and syndicated bank loans.

Our experts also took on various senior roles in banks and consultants giving them deep knowledge of the valuation of companies in the context of raising capital.
